Terms of Service
Last updated: April 26, 2026. These terms govern your use of RuleDesk. By creating an account or accessing a workspace, you agree to them. If you're signing up on behalf of a company, "you" means that company and you confirm you have authority to bind it.
1. The service
RuleDesk is a deal-governance and CPQ-lite SaaS application provided to your team's workspace. Plans, features, and seat limits are listed on the pricing page. We may update features, prices, and limits with reasonable notice; material changes affecting paid customers will be communicated at least 30 days in advance.
2. Your account and workspace
- You're responsible for keeping your credentials confidential and for activity that happens under your account or in your workspace.
- The CompanyAdmin role manages users, billing, and policy settings for the workspace.
- You agree the people you invite (including approvers) have permission to receive RuleDesk emails and view workspace content within their role.
- You will not share a single account between multiple humans.
3. Trials and billing
- New workspaces start on a 14-day free trial of the Growth plan. No credit card is required.
- If you don't pick a paid plan before the trial ends, the workspace becomes read-only: sign-in still works and your data is preserved, but mutating actions are blocked until you upgrade.
- During the founding-customer pilot, billing is invoiced manually. You agree to pay each invoice within the payment terms stated on it (default Net 14 unless agreed otherwise).
- Annual prepay discounts apply to the full pre-paid term.
- If a payment is overdue, the workspace may transition to past due for up to seven days before becoming read-only.
- Refunds: trial users have nothing to refund. Annual prepay refunds are pro-rated for the unused months when cancellation is at our fault (e.g., extended outage, breach of these terms by us).
4. Acceptable use
You agree not to:
- Use RuleDesk to send spam, phish, or otherwise abuse buyer-facing communications.
- Reverse-engineer, scrape, or attempt to bypass tenant isolation, rate limits, or feature gates.
- Upload content that infringes on third-party IP, contains malware, or is unlawful in your jurisdiction or ours.
- Use AI features to generate content that violates the upstream model provider's policies.
- Re-sell, white-label, or operate RuleDesk as a service for unaffiliated third parties without an explicit written agreement.
We may suspend a workspace for material breach of this section after reasonable notice (immediately if the breach risks harm to other customers or the service).
5. Your data
- You own your data. You grant us the limited license needed to host, process, and display it for the purpose of operating the service.
- You are responsible for the accuracy, lawful basis, and authority for any personal data you upload (including buyer contact info, customer billing addresses, etc.).
- You can export workspace data on request. After cancellation, data is retained for 90 days, then deleted, except for audit and acceptance records retained for legal-record purposes (see the Privacy Policy).
- We will not access your workspace data except as required to operate, support, secure, or improve the service, or where you ask us to.
6. AI-generated content
- AI rule authoring, deal intelligence, and similar features are advisory. The deterministic rule engine — not the AI — drives policy enforcement, blocking, approval routing, and final pricing decisions.
- You are responsible for reviewing AI-generated rules and quotes before saving or sending them.
- AI usage is subject to per-workspace rate limits as a guardrail against runaway cost.
7. Buyer-facing quote links
When you mark a quote "Sent," RuleDesk issues a tokenized public link. You are responsible for sharing it only with the intended buyer. Anyone holding a valid, unexpired token can view and accept the quote unless you rotate or invalidate the link from the quote details page.
8. Service availability
We aim for high availability but make no formal uptime SLA during the founding-customer pilot. Scale plan customers receive an SLA-backed support agreement on request. Scheduled maintenance is announced via email to workspace admins at least 24 hours in advance where possible.
9. Warranty and liability
The service is provided "as is." To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Our aggregate liability for any claim arising from these terms is capped at the fees you paid us in the 12 months before the event giving rise to the claim, or one hundred US dollars (USD 100), whichever is greater. We are not liable for indirect, incidental, special, or consequential damages, or for lost revenue, profits, or data.
10. Termination
- You may cancel at any time from your workspace or by email. Annual prepay terms run to their end date; monthly terms end at the end of the current period.
- We may terminate for material breach with 30 days' notice (immediately for abuse, security risk, or non-payment past the dunning grace period).
- On termination, your right to access the service ends and the data-retention timeline in section 5 takes effect.
11. Changes to these terms
We may update these terms with 30 days' notice for material changes. Non-material clarifications take effect immediately. Continued use of the service after a change takes effect is acceptance of the updated terms.
12. Governing law
These terms are governed by the laws of the jurisdiction stated in your invoice's seller block. Disputes will be brought in the courts of that jurisdiction unless mandatory consumer-protection law requires otherwise.
